01Purpose and Structure of this Agreement
These General Terms of Use and Sale ('Terms') govern (i) your access to and use of the nordath.com website and the ALP platform (Part I, 'Terms of Use' / 'CGU'), and (ii) the commercial terms of the paid services you buy from Nordath, namely ALP subscription plans and postage credit (Part II, 'Terms of Sale' / 'CGV'). Nordath only provides software: it is not a real-estate agent or intermediary, is not a party to any transaction between a Customer and a Landowner and receives no commission on such transactions. By accessing our website, creating an account or subscribing to a paid plan, you accept these Terms in full. If you do not agree, you must not use our website or services.
02Definitions
'Nordath', 'we' or 'us' means the individual entrepreneur registered in France who operates under the trade name Nordath. That entrepreneur is Romain Compagnon (173 rue de Courcelles, 75017 Paris, France). 'Platform' or 'ALP' means the Automated Land Prospecting software-as-a-service, including cadastral mapping, parcel scoring, zoning and zoning-document readers, risk and site analysis, transaction records, Bilan Promoteur financial modelling, the deal pipeline, notes, photos, watchlists and alerts, exports, the API and webhooks, and landowner outreach. 'Covered Countries' means the countries where ALP offers real data at a given time, as published at nordath.com/coverage. 'Customer' means any individual or legal entity that creates an ALP account or subscribes to a paid plan. 'Landowner' means an owner whose property is shown in ALP or who is contacted by a Customer through it; Nordath has no contract with Landowners and never charges them any fee.
03Access to the Website and Platform (CGU)
Access to the public pages of nordath.com is free. Access to ALP requires a registered account and, beyond the Free plan, an active paid subscription. ALP is intended for professional use by businesses, not for consumers. We may suspend or restrict access, in whole or in part, for maintenance, security or legal-compliance reasons, with reasonable notice where practicable.
04Coverage and Feature Availability by Country (CGU)
The data and features available in ALP differ between Covered Countries, because each country publishes different open registers. France currently has the full feature set; in other countries some layers (for example building footprints, zoning, transaction records or owner identification) are partial or not yet available, and some regions are excluded where their data licence does not allow reuse. The current availability of each country and feature is shown in the coverage page and inside ALP. We may add, change or withdraw a country or a data layer when a source, its licence or its availability changes; your subscription gives access to the Platform as it is offered at the time, not to any specific future country or layer.
05Accounts, Registration and Security (CGU)
You must provide accurate, complete registration information and keep it up to date. You are responsible for keeping your login credentials and API keys confidential and for all activity under your account, and must tell us immediately at [email protected] of any unauthorised use. Organisation accounts may designate an owner or administrator who manages seats, billing and member access within that organisation.
06Acceptable Use and Restrictions (CGU)
You agree not to: (a) reverse-engineer, decompile or attempt to extract the source code, scoring algorithms or datasets of the Platform; (b) resell, sublicense or give third parties access to the Platform outside your subscribed seats without our written consent; (c) use scraping, bulk extraction or API calls beyond your plan's limits; (d) use owner or parcel data obtained through ALP for any purpose other than legitimate land-development prospecting, in compliance with the data protection, direct-marketing and property laws of the country concerned; (e) reuse third-party open data from ALP in breach of its licence, including its attribution requirements; or (f) use the website or Platform for any unlawful purpose or in a way that could damage or impair our systems.
07Intellectual Property (CGU)
All content, software, trademarks, scoring methods, financial models and design elements of the website and Platform are the exclusive property of Nordath or its licensors and are protected by French and international intellectual property law. Your subscription grants a limited, non-exclusive, non-transferable licence to use the Platform for your own internal prospecting during your subscription. Your exports may include third-party open data, which remains subject to its own licence as listed in our Legal Notice. No other rights are granted.
08Public Data Sources, AI Features and Accuracy (CGU)
ALP aggregates data from official public sources in each Covered Country, including national and regional cadastres, land registers, zoning and planning services, risk and environmental registers, and transaction registers, as listed in our Legal Notice. Where source data is missing or unreliable we mark results as unavailable or of lower confidence rather than inventing values, but we do not control these registers and cannot guarantee their completeness, currency or accuracy. Some features, such as the zoning-document reader and the chat assistant, use artificial intelligence and can make mistakes. Scores, feasibility estimates, AI readings and Bilan Promoteur figures are decision aids only and are not professional appraisal, legal, tax, planning or investment advice. You remain solely responsible for independently verifying any parcel, zoning, risk or financial information before making a decision.
09ALP Subscription Terms (CGV)
Subscription plans (Free, Starter, Local, Pro and Enterprise, as described at nordath.com) are billed monthly or annually through our payment processor, Stripe, and renew automatically for periods of the same length unless cancelled before the renewal date from your account or the Stripe customer portal. Seat-based plans are billed per allocated seat; added seats take effect immediately with prorated billing, removed seats at the next renewal. Plan entitlements (analysis volume, features, API access and support levels) are those described for your plan at the time of purchase and may be updated with reasonable advance notice for future billing periods.
10Postal Outreach and Postage Credit (CGV)
Where postal outreach is offered, letters are printed and posted by Nordath's postal provider. Postage is prepaid: your workspace buys postage credit through Stripe, and each letter the provider accepts is debited at the tariff shown before sending, printing and postage included. Nothing is debited for a letter that is not posted. You are responsible for the content of your letters and for having a lawful basis to contact each recipient.
11Pricing, Invoicing and Payment (CGV)
Prices are quoted in euros, excluding VAT. Where VAT is due, it is added at checkout or on the invoice according to your billing country; while Nordath benefits from the French VAT franchise, its invoices carry no VAT and state 'TVA non applicable, art. 293 B du CGI'. Subscription fees are due at the start of each billing period through the payment method on file with Stripe; failed payments may lead to suspension after a reasonable grace period and retries. Postage credit is paid in advance and debited per letter as described in Section 10.
12Cancellation, Termination and Refunds (CGV)
You may cancel an ALP subscription at any time; cancellation takes effect at the end of the current billing period and you keep access until then. We do not refund partial billing periods except where mandatory law requires it or we have agreed otherwise in writing. Nordath may suspend or terminate an account for material breach of these Terms, non-payment, or fraudulent or abusive use, with reasonable notice where the breach can be remedied.
13Confidentiality
Each party will protect the other's confidential information, including workspace content, landowner data, pricing and business terms, with the care it applies to its own confidential information, and will not disclose it except as needed to perform the service or as required by law.
14Limitation of Liability
To the fullest extent permitted by law, Nordath's total liability arising from the website, the Platform or any paid service shall not exceed the fees the Customer paid to Nordath in the twelve (12) months before the event giving rise to the claim. Nordath is not liable for indirect, incidental, consequential or punitive damages, including lost profits or opportunities. Nothing in these Terms limits liability that cannot be limited under applicable law, including for death or personal injury caused by negligence, fraud or wilful misconduct.
15Indemnification
The Customer will indemnify and hold Nordath harmless from third-party claims arising from its misuse of the Platform, breach of these Terms, or breach of data protection, direct-marketing, open-data licence, real-estate or brokerage rules in connection with data or letters obtained through the Platform or with its own dealings with Landowners.
16Force Majeure
Neither party is liable for delay or failure to perform its obligations, other than payment, caused by events beyond its reasonable control, including natural disasters, government action, network or utility failures, or the unavailability of the public data sources referred to in Section 8.
17Personal Data Protection
Personal data collected through the website or the Platform is processed as described in our Privacy Policy and GDPR Compliance page (nordath.com/privacy-policy and nordath.com/gdpr-compliance). When the Customer uses ALP to process landowner data or send letters, the Customer is the data controller and Nordath its processor under a data processing agreement incorporated by reference into these Terms; the Customer is responsible for having a lawful basis under the laws of the country concerned.
18Governing Law and Jurisdiction
These Terms are governed by French law, without regard to conflict-of-law rules. Any dispute that cannot be resolved amicably within thirty (30) days shall be submitted to the exclusive jurisdiction of the competent courts of France, without prejudice to mandatory rules that protect Landowners or other individuals in their country of residence.
19Miscellaneous
If any provision of these Terms is held invalid, the others remain in force. These Terms, with any signed agreement or order form, are the entire agreement between the parties on their subject. These Terms are provided in several languages; if the versions differ, the English version prevails. Nordath may update these Terms; material changes are announced on the website or by email to active Customers, and continued use after the effective date means acceptance.
